Garret is a partner and head of the Energy and Infrastructure Group in Matheson. He advises on all aspects of projects and project financing, from PPPs to privately-financed electricity, oil and gas field developments and privatisations as well as electricity, gas and telecommunications network infrastructure. Garret’s experience includes electricity and gas market regulation and trading, project development, M&A and financing in the conventional and renewable electricity sectors as well as the mining and upstream / downstream oil and gas sectors. Garret has extensive experience in the renewables sphere (with a particular focus on wind farms) having advised on the financing, sale and purchase of onshore and offshore wind farms in Ireland, Great Britain and Europe.

Experience Highlights

Energy and Natural Resources Mergers and Acquisitions

  • Advised a bidder in relation to its due diligence of and its bid (as part of a consortium) for Bord Gáis Energy, which was sold as part of the State’s privitisation programme.
  • Advised in relation to  due diligence of and acquisition of two large wind farms in Ireland with a combined capacity of 51MW.
  • Advised a closed-ended investment fund in relation to the Irish law aspects of its £300 million IPO, listing on the London Stock Exchange.  This was the largest flotation of a dedicated UK-based renewable energy company and raised £300 million, which was  used to acquire a 276 MW portfolio of 18 operational wind and solar parks in Ireland, the UK and France.
  • Advising a large wind farm developer in relation to the sale of two large wind farms (combined capacity of 117MW) in a competitive auction process.
  • Advised a client in relation to its disposal of a portfolio of electricity generation assets and sites.
  • Advised client in relation to the  sale of the 27MW Ballycadden wind farm.
  • Advising one of the partners in relation to its interest in the Corrib offshore gas field.
  • Advised an international independent oil and gas company in relation to its farm-in to 4 offshore licensing prospects in the Irish offshore.
  • Advised client on an exit from a co-development relating to a 90MW wind farm development project.
  • Advising in relation to the development of LNG Regasification Terminal at Ballylongford, Co Kerry. This is the first LNG facility to be developed in Ireland and is a large, complex project, requiring significant regulatory input across a range of regulatory authorities and permits including at a European Commission level.
  • Advised bidder in relation to due diligence of and bid for international zinc mining assets.
  • Advising one of the oil and gas majors in relation to its interest in the a large prospective oil prospect in the Irish offshore.
  • Advised e|net, the Irish private company responsible for operating the State-owned Metropolitan Area Networks (MANs) fibre optic infrastructure, on its acquisition by a consortium of international telco and infrastructure investors.
  • Advised on the disposal of a 288MW offshore wind farm in Germany.
  • Advised underbidder in relation to a bid for Powerteam Electrical Services UK Limited.
  • Advising a vendor on the sale of its waste and waste to energy business.

Projects / Project Finance / PPP

  • Advised a club of lenders in relation to a portfolio acquisition financing of 9 operational wind farms with a combined capacity of 160mw.
  • Advised the lender in relation to the project financing of the 9.8MW Garranereagh windfarm project.
  • Advising a lender in relation the project financing of a 17mw windfarmm
  • Advising the sponsor in relation to the Greystones Harbour PPP.
  • Advised the Wood Group plc on the Irish law aspects of its acquisition of Pyeroy Group Limited.
  • Advised Electrawinds NV, a Belgian wind farm developer, in connection with the development and financing of the 27MW Ballycadden wind farm in Ireland.
  • Advising in relation to the Schools Bundle 1 and 2 PPP projects.
  • Advising a developer in relation to the development and construction of a 36MW wind farm and 12MW wind farm.
  • Advising in relation to Tynagh’s 400 MW combined cycle gas turbine power plant.
  • Advised turbine supplier in relation to its Turbine Supply and Service and Availability contracts for its 9MW onshore wind farm in Ireland.
  • Advising developer in relation to its proposed offshore wind farm development in Ireland.
  • Advised in relation to a design and build contract for marine electrical infrastructure works under the River Shannon.
  • Advising the construction tv consortium in relation to the construction of the Great Island power plant.
  • Advised telecommunications service provider in relation to its entry into a joint venture for the  installation of a sub-sea fibre optic cable between Ireland and Wales and the development of a fibre optic telecommunications business in Ireland.

Energy Regulatory

  • Advised multinational client in relation to a complex demand side management agreement.
  • Advised an Irish utility in relation to its entry into the regulated domestic electricity and gas markets in Ireland and Northern Ireland.
  • Advised in relation to the implementation in Ireland of the unbundling requirements under the EU Third Energy Packages and in relation to the establishment of the independent transmission model.
  • Advised numerous clients in relation to the splitting, transfer and merging of grid capacity for wind farm projects.
  • Advised in relation to the statutory and CPO wayleaving powers available to generators under Irish electricity generation licences.
  • Advising numerous new market entrants in relation to their gas and electricity connection agreements and on the gas and electricity regulatory arrangements in Ireland in the context of the development, financing and construction of gas and electricity infrastructure.
  • Advised a client in relation to the establishment and management of a “supplier lite” supply business relating to a 44MW windfarm project.
  • Advising in relation to the proposed renewable power export project linking windfarms in the Irish midlands to the UK electricity grid.
  • Advising numerous oil and gas clients in relation to the Irish Licensing Terms issued by the Petroleum Affairs Division of the Department of Communications, Energy and Natural Resources.
  • Advised a client in relation to the rules for trading electricity on the East West Interconnector.
  • Advising in relation to the ownership of electricity transmission assets as mandated under EU Directives.
