Expertise

Brian is a partner in the firm’s Corporate M&A Group, based in the Dublin office.  He advises on a broad range of corporate matters, including public and private mergers & acquisitions, joint ventures, reorganisations and equity capital markets transactions.  In addition to transactional representations Brian also advises clients on governance matters and ongoing regulatory compliance.  

Brian spent over 12 years in London working for a leading US law firm and an elite international firm. He has particular expertise in advising international and domestic clients on complex, high value cross-border transactions. Prior to joining Matheson he was a partner in another leading Irish law firm.

Experience Highlights

Brian has advised on the following transactions, which include matters prior to joining Matheson:

  • EQT Private Equity on its acquisition of a majority stake in AMCS, a supplier of cloud-based and AI-enabled planning, performance and sustainability focused software 
  • GTreasury, a portfolio company of Hg Capital, on its acquisition of Cash Analytics Limited, a provider of cash flow forecasting software
  • Softbank Corp on its strategic investment in Cubic Telecom for a 51% equity stake at a valuation of over €900 million
  • Accel-KKR on its investment in Ocuco, a multinational business that provides specialist software to the eyecare industry
  • Hortifrut, a global leader in berry production and marketing, on the reorganisation of its international business to Ireland
  • Clayton Dubilier & Rice on its £2.8 billion recommended takeover of UDG Healthcare plc
  • The Department of Finance on a number of equity capital markets mandates relating to the State’s investments in the Irish banking sector, including the sell-down of part of the State’s shareholding in AIB Group through various book-built placing raising proceeds of over €1.1 billion
  • T Stamp Inc., a Delaware incorporated global provider of AI-empowered services, on its admission to trading on Euronext Growth Dublin
  •  J&E Davy and Berenberg on the €94 million cash box placing by Dalata Hotel Group Plc
  • Credit Suisse on its role as financial adviser to Aon plc in its proposed $80 billion merger with Willis Towers Watson plc
  • J&E Davy and RBC Capital Markets on placings by Greencoat Renewables PLC to raise aggregate proceeds of approximately €400 million
  • Investcorp on its joint venture with Aberdeen Standard Investments to establish a $1 billion social infrastructure fund in the Gulf region
  • The Olyan Group on the sale of Chipita S.A, a high growth business in the Central and Eastern European baked snacks sector, to Mondelez for approximately $2 billion
  • Societe Generale on the acquisition of Kleinwort Benson's UK and Channel Islands' wealth management business
  • Goldman Sachs and EFG-Hermes in the $900 million IPO of Edita food Industries S.A.E. and its listing of global depositary receipts on the London Stock Exchange
  • General Electric on the divestment of power generation assets in connection with its €10.3 billion acquisition of Alstom
