Elaine Long is a partner in Matheson’s Financial Institutions Group. Her practice focuses on advising insurers, reinsurers and other financial institutions on a range of regulatory and transactional matters.
Elaine regularly advises private equity sponsors on their investment into the financial services sector in Ireland and provides expert guidance in dealing with the Central Bank of Ireland requirements in relation to such investment.
Elaine also has extensive experience in advising clients on cross-border projects and has advised a number of financial institutions on projects under the Mobility Directive and under the previous cross-border merger regime and has assisted a number of leading insurance companies with domestic and cross-border insurance portfolio transfers.
She also regularly advises insurers and other financial institutions on the regulatory aspects of establishment and authorisation.
Elaine joined Matheson in 2006. Prior to joining the Financial Institutions Group, Elaine spent almost a decade in the Corporate Restructuring and Insolvency Group in Matheson, where she advised on contentious and non-contentious corporate insolvency matters and regularly advised financial institutions on insolvency proceedings, the enforceability of set-off rights and the invalidation of security following insolvency.
Elaine is a member of the IBA Banking Law Committee (Banking regulation subcommittee).
Experience and Education
Elaine has recently advised:
- Intesa Sanpaolo on the transfer of the entire business of Intesa Sanpaolo Life DAC to its Italian parent (Intesa Sanpoalo Vita S.p.A.) and on the merger of Intesa Sanpoalo Life DAC with Intesa Sanpaolo Vita S.p.A.
- Irish Life Assurance PLC on the insurance portfolio transfer from Ark Life Assurance Company.
- the Monument Re group on a number of regulatory and transactional matters including the transfer of Omega Life DAC (previously Cattolica Life DAC) to Monument Assurance Luxembourg SA and the transfer of the business of Inora Life DAC to Monument Life Insurance DAC. Elaine also advised the Monument Re group on the portfolio transfer of a book of variable annuity polices from Athora Ireland plc to Monument Life Insurance DAC and also advised the group on the cross border merger the group’s Irish and Belgian service companies.
- the Compre Group on its acquisition of Medical Insurance Company from Covéa and subsequent portfolio transfer.
- AmTrust International Underwriters DAC on a number of insurance portfolio transfers in relation to the transfer of its surety business to Liberty Mutual Insurance Europe SE.
- the Aon group on a number of regulatory and transactional matters, most recently on the Irish law aspects of its acquisition of the NFP group which completed in 2024 and on its acquisition of Griffiths & Armour which completed on 1 January 2025.
- a number of reinsurers on the Irish law aspects of collateral arrangements involving cash, securities and other assets held through Irish custodians, where required in connection with reinsurance agreements.
- international private equity firm Cinven on the Irish aspects of its majority investment in Alter Domus.
- Bank of Ireland on the acquisition from KBC Bank Ireland plc of its performing mortgages and deposits (and other assets).
