John is a partner in the Corporate M&A Group and a member of our cross-departmental Healthcare and Life Sciences Group.
John specialises in corporate transactions (both domestic and international) including mergers and acquisitions, shareholder arrangements, equity fundraisings, joint ventures, corporate reorganisations and restructurings, corporate redomiciliations and general commercial matters. He advises leading Irish and multi-national public and private companies on private M&A and public company transactional mandates. John has particular experience in the Life Science and Aviation sectors, having worked on many significant corporate transactions in these sectors in recent years.
Experience and Education
John has advised:
- Novo Nordisk on a number of matters including (i) its $1.2 billion acquisition of Prothena Corporation plc’s clinical stage antibody PRX004 and broader ATTR amyloidosis programme, housed in Neotope Neuroscience Limited, (ii) a cross border IP restructuring (iii) its acquisition of a pharmaceutical manufacturing facility from Alkermes plc. and (iv) corporate governance and compliance issues;
- Impulse Dynamics plc on a number of matters, including (i) its corporate redomiciliation form Curaçao to Ireland, (ii) various securities laws and governance issues and (iii) various equity fundraising, including its recent $136 million Series F fundraising round;
- Zoom Video Communications, Inc on its acquisition of employee communication and engagement platform, Workvivo;
- Google on its $150 million acquisition of Pointy, an Irish based technology company which has developed a hardware and software technology to help physical retailers get their products discoverable online;
- Horizon Therapeutics plc on its acquisition of a pharmaceutical manufacturing facility, and its related business, in County Waterford, from EirGen Pharma, an OPKO Health Company, for $65 million;
- ALAFCO Aviation on the $2.2 billion sale of its aircraft leasing platform, consisting of 73 aircraft, to Macquarie Airfinance Group;
- Azorra Aviation acquisition of a portion of Nordic Aviation Capital’s aircraft leasing platform, consisting of 37 aircraft, as part of a Chapter 11 bankruptcy process;
- Towerbrook Capital Partners on its €100m controlling equity investment in CarTrawler, the leading B2B provider of car rental and mobility solutions to the travel industry;
- Trinity Biotech plc on various matter including (i) the disposal of its Fitzgerald Industries division to Biosynth International, the Swiss based provider of life sciences reagents and CDMO services, (ii) securities law filings and (iii) on on-going governance advices;
- Amazon on its acquisition of Bay Farms Limited;
- Aerogen Pharma on a joint venture with Lyomark Pharma GmbH in relation to the development of a combination drug and medical device product;
- a consortium of investors led by Novo Holdings and Andera Partners SCA on their acquisition of a minority interest in Foundry Innovation & Research 1 Ltd (FIRE1);
- RA Capital Management on its investment in Whiteswell Limited, an Irish medical device company focused on the treatment of acute decompensated heart failure; and
- RIVE Private Investment on its acquisition of a controlling interest in the Loxig Aero Group.
