Our corporate tax practice has been continually recognised over the last 20 years as the Irish tax law adviser of choice for leading US and EU multinational corporations.
We provide a full-service corporate tax offering. Our clients benefit from our strength in depth as Ireland’s largest corporate tax law practice. We work closely with our clients and with lawyers from other practice groups in the firm to develop and implement solutions which are innovative and tax-effective.
We frequently act as lead tax counsel in the design and implementation of complex international reorganisations and restructurings. We have advised on a large number of significant reorganisations in recent years which were undertaken in light of the impact of the various OECD initiatives, EU directives, US tax reform measures and changes to Ireland’s domestic tax rules.
Our work in this area typically has a significant international element which requires us to engage and collaborate with tax practitioners from leading global firms.

Our Team

Caroline is a partner in the Tax Department of Matheson. Caroline advises on cross border tax planning, transfer pricing, tax controversy matters and inward investment projects.
She also has extensive experience in international corporate restructurings as well as mergers and acquisitions on an international and national level.
Caroline is a Chartered Tax Advisor and a member of the Law Society of Ireland. Her experience also includes a secondment to the tax department of a multinational company. Caroline is also the co-author of the Irish Chapter of the IBFD’s publication on Transfer Pricing.

Brian is a partner in the firm’s Tax Department and advises multinational corporations doing business in and from Ireland on all aspects of Irish corporate taxation.
Brian has a particular interest in cross border tax planning, transfer pricing and tax controversy matters and also has extensive experience in structuring mergers and acquisitions and corporate reorganisations. His clients include many of the leading multinational corporations operating in the ICT, life sciences, manufacturing, retail and industrial sectors in Ireland. Brian also advises on Irish stamp duty matters particularly in the context of global reorganisations.

Matthew Broadstock is a partner in the Tax practice of Matheson, where he heads the Indirect Taxes group, specialising in cutting-edge VAT developments at both Irish and EU levels as well as advising on Customs and Excise matters, and Relevant Contracts Tax.
Matthew is a member of the Law Society Taxation Committee and is Chair of the Indirect Tax TALC Consultative Committee on behalf of the Law Society during 2025. Matthew plays a pivotal role in shaping Ireland’s indirect tax dialogue with the Revenue Commissioners.

Joe Duffy is a partner in the tax group at Matheson.
Joe has 20 years’ experience in corporate tax law and advises on international restructurings, mergers and acquisitions, tax controversy and transfer pricing. Joe’s clients include many of the leading multinational corporations established in Ireland, primarily in the pharmaceutical, technology, industrial and service sectors.
Joe speaks regularly on international tax matters in Ireland and abroad. He has also written extensively on international tax matters.

Aidan Fahy is a partner in the Tax Department and advises on all aspects of corporate taxation including the structuring of domestic and international reorganisations, mergers and acquisitions and the tax consequences of doing business in and from Ireland.
He also advises on cross-border financial planning, property transactions, employment related taxes, and insolvency related issues.
Aidan advises on personal taxation and represents high net worth individuals and owner managed businesses.

Shane Hogan is a partner and Head of the Tax Department at Matheson.
He is a member of the firm’s International Business Group and US Business Group. Shane advises international corporations doing business in and from Ireland on all aspects of corporate tax. His main focus is in inward investment projects, cross border tax planning and corporate restructurings as well as mergers and acquisitions on an international and national level. Shane also advises on Irish stamp duty matters particularly in the context of global reorganisations.

Barry is a partner in the firm’s Tax Department and has over 20 year’s experience advising international companies doing business in and from Ireland on Irish tax matters. Barry advises a portfolio of international clients primarily in the technology, pharmaceutical, life sciences, manufacturing, retail and industrial sectors.
Barry advises on inward investment projects, corporate reorganisations, supply chain tax structuring, transfer pricing and tax controversy matters. He also advises on employment related taxes with a particular focus on global mobility tax issues, SARP, share remuneration and the cross border taxation of senior executives / board members.
As well as being admitted to the roll of solicitors in Ireland, Barry is admitted as a solicitor in England & Wales (non-practicing), is a qualified financial advisor and is a chartered tax adviser of the Irish Taxation Institute.

Catherine is a partner in the tax department at Matheson.
Catherine has significant experience advising multinational corporations doing business in Ireland on Irish corporate tax.
Her work primarily comprises advising multinationals on the Irish tax aspects of their operations including tax effective structuring of global reorganisations, IP ownership, inward investment projects and cash repatriation strategies.

Mark O’Sullivan is a partner in the firm’s Tax Department and advises on all aspects of Irish corporate taxation. His primary focus is advising overseas clients establishing operations and doing business in and through Ireland. Mark also advises extensively on all aspects of international tax planning, including IP planning, cross-border reorganizations and financing transactions.

John Ryan is a Senior Tax Principal and practises corporate tax focusing principally on advising international corporations doing business in and from Ireland.
His areas of expertise include advising on corporate acquisitions, mergers, reorganisations, inward investment tax incentives, workouts and cross-border restructurings. He has represented numerous US and other foreign corporations in establishing their Irish operations, and is standing advisor to a number of Irish based multinationals.

Kevin Smith is a partner in the Tax practice of Matheson and is also a Kevin is a partner in the Tax practice of Matheson and is also a member of the Structured Finance and Derivatives Group.
Kevin advises financial institutions, investment banks, investment managers and institutional investors on all tax aspects of financial services in Ireland, including securities transactions, debt capital markets, cross-border financing and derivative transactions. Kevin also advises many of the world’s largest aircraft leasing companies on tax aspects of carrying on aircraft leasing business in or from Ireland.
Kevin is one of the market leaders advising on the establishment and taxation of alternative investment funds, including private credit and debt funds, infrastructure funds and PE fund structures. He also supports non-Irish funds on their investments in Irish assets.

Vahan is a partner in the firm’s Tax Department. He advises on a broad range of tax issues, with a particular specialism in tax issues arising in the context of mergers and acquisitions, having represented both buyers and sellers across a variety of industries and sectors. Alongside his M&A practice, Vahan also frequently advises on:
- corporate restructurings and reorganisations (particularly in the context of pre-sale and post-transaction planning in M&A transactions);
- the tax aspects of all forms of share-based remuneration in Ireland (including the optimum structuring in the context of M&A transactions);
- all forms of employment taxes and social security (particularly in circumstances that involve a cross-border element); and
- property transactions (and property-related tax planning) and insolvency-related tax issues.

Gerry Thornton is a partner in the Tax practice of Matheson.
Gerry advises on all aspects of corporate tax. His main focus is the financial sector, including asset management, finance and asset finance, banking and investment banking, leasing, derivatives and insurance.
Gerry frequently advises on mergers and acquisitions, tax litigation and tax disputes.

Philip is a partner in the Tax Department at Matheson. Philip advises multinational corporations doing business in and from Ireland on all aspects of corporate tax. He advises on corporate reorganisations, inward investment projects and cross-border tax transactions as well as transfer pricing matters and tax disputes.
Philip is a member of the Irish Taxation Institute, the Law Society of Ireland and the International Bar Association (IBA) and is a regular participant on international tax panels organised by the IBA and the American Bar Association (ABA). Philip is Contributing Editor of the ‘Doing Business In..’ guide published by Chambers. Philip has served as the national reporter for Ireland for the Taxes Committee of the IBA and has acted as Branch Reporter for the Cahiers prepared by the International Fiscal Association (IFA).
